1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Haulyn websites, mobile applications, and related services (together, the "Service"). By creating an account, booking through the Service, providing services through the Service, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
2. About Haulyn
Haulyn operates an on-demand transportation and delivery marketplace that connects customers and businesses ("Customers") with independent drivers and independent transportation companies ("Providers") across multiple modes, including food delivery, goods and freight transport, passenger rideshare, and limo/chauffeur service.
Haulyn is a technology platform. Haulyn does not provide transportation or delivery services and is not a transportation carrier. Transportation and delivery services are provided by independent Providers who are not employees, agents, or partners of Haulyn. Haulyn facilitates the booking, payment, and payout process between Customers and Providers but is not a party to the agreement for transportation or delivery formed directly between a Customer and a Provider.
3. Definitions
- "Customer" means a user who requests and pays for a delivery, ride, or other haul through the Service.
- "Provider" means an independent driver or transportation company that accepts and completes jobs through the Service.
- "Job" means a single delivery, ride, freight haul, or chauffeur booking requested through the Service.
- "Platform Service Fee" means the fee Haulyn retains for operating the marketplace, as described in Section 7.
- "Content" means any information, text, graphics, or other materials uploaded, posted, or otherwise made available through the Service.
4. Eligibility & accounts
To use the Service you must be able to form a legally binding contract and meet any minimum-age requirement in your jurisdiction. You agree to provide accurate, current, and complete information when you register and to keep it up to date. You are responsible for all activity that occurs under your account and for keeping your login credentials secure. Notify Haulyn promptly of any unauthorized use. Haulyn may suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
5. The service
The Service provides access to the Haulyn marketplace, including booking and requesting Jobs, matching with available Providers, facilitation of payments and payouts, live tracking, ratings, and customer support. Availability of specific modes and features may vary by location and over time. Haulyn may add, change, suspend, or remove features of the Service at its discretion. Estimates shown in the Service (such as prices, distances, and arrival times) are good-faith estimates and are not guarantees.
6. Bookings & provider relationship
When a Customer books a Job and a Provider accepts it, a direct agreement for the transportation or delivery is formed between the Customer and the Provider. Haulyn facilitates that arrangement, including collecting payment and handling payouts, but is not itself a party to it and is not responsible for a Provider's performance. Providers exercise independent professional judgment in performing Jobs. Customers are responsible for providing accurate Job details (such as addresses, contents, and special instructions).
7. Payments, fees & payouts
Customers pay for Jobs through the Service. Payment processing is performed by Stripe, and by using the Service you also agree to Stripe's applicable terms. Haulyn does not store full payment card numbers on its own systems.
The total a Customer pays may include the service amount, a Platform Service Fee, any per-Job fees, applicable taxes and surcharges, and any optional tip. Prices are shown before a Customer confirms a Job. Exact amounts vary by factors such as distance, time, demand, and vehicle class, as described on the Pricing & Fees page.
For each completed Job, Haulyn retains the Platform Service Fee and pays the remaining earnings to the Provider through Stripe Connect, on a recurring payout schedule. Providers are responsible for maintaining a valid connected payout account and for any taxes owed on their earnings. Haulyn may adjust fees on a prospective basis; material changes will be communicated through the Service.
8. Cancellations & refunds
Cancellations, refund eligibility, and dispute handling are described in the Refund & Cancellation Policy, which forms part of these Terms. Depending on timing and circumstances, a cancellation fee may apply, and certain completed Jobs may be non-refundable except as required by law.
9. User obligations & acceptable use
You agree to use the Service lawfully and respectfully. You will not: (a) violate any applicable law or regulation; (b) misrepresent your identity or eligibility; (c) interfere with or disrupt the Service or its security; (d) attempt to access accounts or data that are not yours; (e) use the Service to harass, threaten, or harm others; (f) transport prohibited or unlawful items; or (g) use the Service for any fraudulent purpose. Haulyn may suspend or terminate access for conduct it reasonably believes violates these Terms.
10. Provider terms
Providers are independent contractors and not employees of Haulyn. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between Haulyn and any Provider. Providers are responsible for: maintaining all licenses, permits, registrations, and insurance required to perform Jobs; maintaining their vehicles in safe, legal condition; complying with all applicable laws; and meeting Haulyn's verification and quality standards. Providers retain discretion over whether, when, and how often to accept Jobs, subject to these Terms and program rules.
11. Referral program
Haulyn may offer a referral or affiliate program allowing eligible users to earn rewards for referring qualified new Providers or Customers. Any rewards are subject to separate program terms made available at enrollment, and Haulyn may modify or discontinue the program at any time. Referral incentives may not be obtained through spam, misrepresentation, or other prohibited means.
12. Intellectual property
The Service, including the Haulyn name, logo, software, and content provided by Haulyn, is owned by Haulyn or its licensors and is protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works except as permitted by law or with prior written consent.
13. Third-party services
The Service relies on third-party providers, including Stripe for payments and payouts, and mapping, messaging/SMS, and verification providers. Your use of those features may be subject to the third parties' own terms and privacy practices. Haulyn is not responsible for the acts or omissions of third-party providers.
14. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Haulyn does not warrant that the Service will be uninterrupted, error-free, or secure, or that any Provider or Customer will perform as expected. Haulyn does not guarantee the quality, safety, or legality of services provided by independent Providers.
15. Limitation of liability
To the fullest extent permitted by law, Haulyn and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages.
To the fullest extent permitted by law, Haulyn's total aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the total amount of Platform Service Fees retained by Haulyn on the transaction(s) giving rise to the claim in the [SPECIFY PERIOD, e.g., six (6) months] preceding the event, or (b) [SPECIFY AMOUNT, e.g., USD 100]. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless Haulyn and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or applicable law; (c) for Providers, the performance of any Job; or (d) your infringement of any third-party right.
17. Dispute resolution & arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by [ARBITRATION PROVIDER] under its applicable rules, on an individual basis, in [VENUE, e.g., Georgia, USA], rather than in court, except that either party may bring an individual claim in small-claims court where eligible.
Class-action waiver: [PLACEHOLDER] To the extent permitted by law, disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action. Counsel should confirm enforceability, opt-out mechanics, and any required notices before this section is relied upon.
18. Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. Subject to Section 17, the state and federal courts located in Georgia will have exclusive jurisdiction over any matters not subject to arbitration.
19. Changes to these terms
Haulyn may update these Terms from time to time. When changes are material, Haulyn will provide notice through the Service or by other reasonable means and update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
20. Termination
You may stop using the Service at any time. Haulyn may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or to protect the Service or its users. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
